Corporate & Securities Law Advisory

We advise companies, promoters, investors and regulated intermediaries on corporate, securities and financial regulation, with strong experience across SEBI and RBI frameworks.

On the corporate side, we provide advisory related to governance issues, board and shareholder processes, capital raising, internal investigations  and other critical legal and regulatory matters.

On the securities side, we support listed-company compliance and disclosure strategy, and represent clients in regulatory matters including inspections, show-cause notices and enforcement actions. We regularly advise on market conduct issues, including insider trading (PIT) and PFUTP, covering trading controls, internal reviews, investigations and remediation.

We also advise SEBI-registered entities—investment advisers, research analysts, brokers and portfolio managers—on registration, licensing conditions and compliance programmes.

 

For fintechs and financial institutions, we advise on RBI regulations and product structuring, including lending and payments, and FEMA-related cross-border structuring and execution.

Founder Legal Advisory

Led by a lawyer who built and scaled a SaaS startup from zero to ₹1.5 crore in revenue through multiple funding rounds, we bring first-hand insight into the founder journey. Legal issues may appear technical, but small decisions often have an outsized impact on control, economics, and long-term outcomes. As companies grow, those decisions only become more consequential.

 

Our practice is centred on founders because their position, judgment, and leverage are often what determine the future of the business. We are largely conflict-free, as we typically act only for founders and startups. That allows us to give clear, independent advice in situations where the stakes are personal, commercial, and often deeply strategic. We help founders make informed choices—when to compromise, when to resist, and how to protect what matters most.

 

Strategic matters for founders can reshape ownership, control, reputation, and the future of the company itself. We advise on co-founder breakdowns, investor conflicts, boardroom disputes, deadlocks, exits under pressure, and other high-stakes shareholder situations where founders need both legal strategy and commercial judgment.

FDI: India Entry, Joint Ventures, M&A

We advise foreign investors on setting up and investing in India, with a focus on FDI/FEMA compliance and clean execution.

We support the entire set-up process: selecting the appropriate investment route and tax structure, incorporating the Indian entity, and putting operations in place. This includes assistance with leasing or acquiring land/industrial premises, obtaining approvals for factories or operating units, and negotiating the key contracts needed to start and run the business. We also help with hiring, employment documentation, payroll set-up, and the related statutory compliances.

For joint ventures, we advise on term sheets and definitive documents, including governance and control rights, reserved matters, transfer restrictions, exit protections, and dispute planning. We also advise on cross-border M&A, including due diligence, transaction documentation, regulatory filings and closing, with emphasis on value protection and FEMA/FDI compliance.
